Terms and Conditions
Last updated: 25 February 2025.
These Terms and Conditions apply to your use of the Orincore website (www.orincore.com) and to services we provide to you. In these terms, "Orincore", "we" and "us" mean Orincore Technologies, a sole proprietorship of Adarsh Suradkar, based in Mumbai, Maharashtra, India. "You" means the person or organisation using the website or buying our services.
If you use the website or ask us for services, you agree to these terms. If a signed proposal or project agreement conflicts with these terms, the signed document prevails for that project.
Who we are
The services are provided by Orincore Technologies, a sole proprietorship of Adarsh Suradkar, based in Mumbai, Maharashtra, India. GSTIN: 27OKAPS8532M1Z8. You can contact us at contact@orincore.com. Orincore is not a company with limited liability: it is a sole proprietorship, so the business and its proprietor are the same legal person.
Information and estimates on this website
Information on this website, including any starting prices, timelines, currency conversions and examples, is general and indicative. It is not an offer or a quotation.
Your project scope, price, billing currency, timeline and payment milestones are binding only once they are set out in a written proposal or agreement that both parties accept.
Proposals, scope and changes
Every project starts with a written proposal that describes the scope, deliverables, timeline, price and payment milestones. Work begins when you accept the proposal in writing (email is sufficient) and any advance payment due is received.
Work outside the agreed scope is a change. We quote changes separately and start them only after you approve the price and timeline in writing. Changes can affect the delivery date.
Your responsibilities
To deliver on time we need your cooperation. You agree to:
- give us accurate information, content, access and decisions promptly
- provide only content, images, data and materials that you own or have the right to use
- pay invoices on time
- use the delivered work lawfully
- keep your own accounts, passwords and hosting secure
Delays caused by late feedback, missing content or unavailable decision-makers can move the delivery date.
Fees and payment
Fees are payable in the currency and by the milestones stated in your proposal. Taxes such as GST, VAT or sales tax are payable by you where they apply, unless the proposal says otherwise.
Where GST applies to your purchase, it is added to the fee and shown on a GST invoice that states our GSTIN (27OKAPS8532M1Z8).
Third-party costs such as hosting, domains, software licences, payment processor fees, app store accounts and AI model usage are not included unless the proposal says so, and are paid by you directly to the provider.
We may pause work while an invoice is overdue. Work resumes when the overdue amount is paid.
Acceptance of deliverables
When we deliver a milestone, you have 7 days to review it and tell us in writing about any material defects. Deliverables with no written notice of material defects within 7 days are treated as accepted.
If you report a defect in time, we correct it so that the deliverable matches the agreed scope.
Free support period
Each project includes up to 2 months of free service after launch, covering support, maintenance and bug fixes for the delivered work.
The free support period starts on the day we hand the application over to you to launch, and it ends 2 months after that day.
After the free support period ends, we do not provide support for free. Any further support, maintenance, bug fixes or changes to the service are paid services. We agree the scope and price with you in writing before that work starts.
Issues caused by third-party services, changes made by others to the delivered work, or misuse are not covered by free support.
Intellectual property
When you have paid for a project in full, you own the intellectual property rights in the deliverables we created specifically for you, other than the components described below.
We keep ownership of our pre-existing tools, libraries, templates, code snippets, methods and know-how, and of anything we create independently of your project. Where these are part of your deliverables, we grant you a non-exclusive, perpetual, worldwide licence to use them as part of the delivered work.
Third-party and open-source components stay under their own licences, which you must follow.
You keep all rights in the content and materials you supply, and you grant us the right to use them to carry out the project.
Unless you ask us in writing not to, we may mention the project name and its public web address in our portfolio and marketing. We will not publish confidential information or your private data.
Confidentiality
Each party will keep the other's confidential information confidential and use it only to carry out the project. This does not apply to information that is public through no fault of the recipient, was already known to the recipient, or must be disclosed by law.
We are happy to sign a mutual non-disclosure agreement before discussing your idea.
Third-party services
Our work often depends on third-party services such as hosting, payment providers, email and messaging services, analytics and AI model providers. They operate under their own terms and prices, and we are not responsible for their outages, changes or fees.
Output generated by AI models can be inaccurate. You are responsible for reviewing AI-generated content before relying on it.
No guarantee of results
We build to the agreed scope with reasonable skill and care. We do not guarantee commercial outcomes such as search engine rankings, traffic, leads, sales, revenue, app store approval or investor interest, because these depend on factors outside our control.
Except as stated in these terms or your proposal, the website and services are provided without warranties of any kind, to the extent the law allows.
Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, including loss of profit, revenue, data, goodwill or business opportunity.
Our total liability to you for all claims relating to a project is limited to the fees you paid us for that project.
Nothing in these terms limits liability that cannot be limited by law, including liability for fraud.
Cancellation, termination and refunds
Either party may end a project by giving written notice. You must pay for work completed and delivered up to the date of termination, and for any approved third-party costs already incurred.
The advance payment is non-refundable. Other payments and refunds are governed by our Refund and Cancellation Policy.
We may end or suspend services immediately if you seriously breach these terms, for example by non-payment after notice, or by asking us to do something unlawful.
Use of the website
You agree not to misuse the website, attempt to gain unauthorised access, introduce malicious code, scrape it in a way that harms its operation, or use it for unlawful purposes.
Content on the website, including text, design, logos and code, belongs to us or our licensors. You may view and share pages for normal personal and business use, but you may not copy or reuse it commercially without our written permission.
The website links to client and partner websites that we do not control. We are not responsible for their content.
Events outside our control
Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, power or internet failures, pandemics, government action, strikes or failures of third-party platforms. The affected party will tell the other promptly and resume as soon as reasonably possible.
Governing law and disputes
These terms and any dispute arising from them are governed by the laws of India. The the courts at Mumbai, Maharashtra, India have exclusive jurisdiction.
We encourage you to contact us first so we can try to resolve any concern informally.
General
These terms, together with your signed proposal or agreement, are the entire agreement about the services. If a part of these terms is found unenforceable, the rest continues to apply. A delay in enforcing a right is not a waiver of it. You may not transfer your rights under these terms without our written consent.
We may update these terms from time to time. The date at the top shows when they last changed. Updates do not change the terms of a project you have already started, unless you agree.
Notices to us should be sent by email to contact@orincore.com. Questions about these terms are welcome at the same address.
